These Website Terms of Use ("Terms") govern access to and use of https://www.kotec.co, operated by Kotec LLC, trading as Kotec ("Kotec," "we," "us," or "our"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Informational website only

The Website describes Kotec's capabilities and provides general technical and business information. Website content does not create an engineer-client, consultant-client, contractor, fiduciary, or other professional relationship.

No Website content is application-specific engineering advice, a design approval, a safety assessment, a code-compliance determination, a certification, a legal opinion, or a guarantee of performance.

2. No reliance for engineering or safety decisions

You must not rely on Website content as the sole basis for:

  • machinery, controls, electrical, robotic, process, or safety design;
  • risk assessment or safeguarding decisions;
  • regulatory or standards compliance;
  • equipment selection, programming, commissioning, or modification;
  • production, quality, capacity, or cycle-time commitments; or
  • legal, financial, export-control, or certification decisions.

Engineering decisions must be based on the specific application, verified requirements, applicable standards, current manufacturer documentation, competent professional judgment, and an appropriate contractual scope.

3. No offer or commitment

Website descriptions, examples, availability statements, and capability summaries are informational and do not constitute a binding offer, quotation, project commitment, warranty, or acceptance of work. Services are provided only under a separate written agreement, purchase order, quotation, or other accepted commercial document.

4. Accuracy and availability

Kotec aims to keep Website content useful and current but does not warrant that it is complete, accurate, error-free, continuously available, secure, or suitable for a particular purpose. Technical standards, product specifications, software versions, laws, and industry practices change over time.

Kotec may change, suspend, or remove Website content without notice.

6. Acceptable use

  • introduce malware, harmful code, automated attack traffic, or disruptive requests;

7. Enquiries and confidential information

The Website provides a contact form for business enquiries, which submits securely to Kotec. You may also send general enquiries to info@kotec.co.

Do not send trade secrets, classified information, export-controlled information, personal financial information, passwords, or other highly sensitive material through a general website or email enquiry. Submission of information does not create a confidentiality obligation unless Kotec has signed a separate written confidentiality agreement covering that information.

8. Third-party websites and products

References or links to third-party companies, products, standards, software, or websites are provided for information and do not necessarily constitute endorsement. Kotec does not control and is not responsible for third-party content, availability, security, terms, or privacy practices.

9. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOTEC LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, REPRESENTATIVES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, PRODUCTION, OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE WEBSITE OR RELIANCE ON ITS CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOTEC'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

This limitation does not exclude liability that cannot lawfully be excluded or limited.

11. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Kotec LLC from claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Website, your violation of these Terms, or your infringement of another person's rights.

12. Governing law and jurisdiction

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Subject to any non-waivable legal rights, the state and federal courts located in Michigan will have exclusive jurisdiction over disputes arising from these Terms or the Website.

13. Severability and waiver

If a provision of these Terms is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver of that provision or any other right.

14. Changes

Kotec may update these Terms by posting a revised version with a new "Last updated" date. Continued use after an update constitutes acceptance of the revised Terms to the extent permitted by law.
